1. Agreement to Terms
By accessing our website at roamhanksconsultancy.com or engaging Roam Hanks Consultancy ("RHC", "we", "us") for any services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our site or services.
2. Services
RHC provides business consulting, fundraising advisory, investor introduction, data room build, website development, and related services to startups and SMEs. The specific scope of services for each engagement is agreed in writing prior to commencement.
We reserve the right to refuse service to any party at our sole discretion.
3. Engagements & Fees
All engagement terms, deliverables, timelines, and fees are set out in a separate Statement of Work or engagement letter agreed between RHC and the client before work begins. No work will commence without written confirmation of engagement terms.
- Fees are payable as specified in the engagement agreement
- RHC may charge interest on late payments at 8% above the Bank of England base rate
- All fees are quoted exclusive of VAT unless otherwise stated
4. Intellectual Property
All documents, templates, methodologies, and materials created by RHC remain the intellectual property of RHC until full payment is received. Upon receipt of full payment, deliverables created specifically for the client are assigned to the client.
RHC's proprietary frameworks, templates, and methodologies remain RHC's property at all times.
5. Confidentiality
Both parties agree to maintain the confidentiality of information shared during an engagement. RHC will not disclose client business information to third parties without consent, except where required by law or where necessary to fulfil the service (e.g. sharing materials with investors at the client's direction).
6. No Guarantee of Funding
RHC provides advisory, documentation, and introduction services. Whilst we have an 80% track record of assisting clients to secure funding, we make no guarantee that any client will secure investment. Investment decisions rest solely with investors. RHC is not a regulated financial adviser and does not provide regulated financial advice.
7. Limitation of Liability
To the fullest extent permitted by UK law, RHC's total liability to any client arising from or in connection with our services shall not exceed the total fees paid by that client to RHC in the 12 months preceding the claim.
RHC shall not be liable for any indirect, consequential, or special losses, including loss of profit, loss of opportunity, or investment losses.
8. Indemnification
You agree to indemnify and hold RHC harmless from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your use of our services, or any misrepresentation made to RHC or to investors introduced by RHC.
9. Website Use
You may use our website for lawful purposes only. You must not:
- Attempt to gain unauthorised access to any part of our website or systems
- Use our website to transmit unsolicited communications
- Reproduce, distribute, or create derivative works from our content without written permission
10. Third-Party Links
Our website contains links to third-party websites (including F6S, partner investors, and portfolio companies). These links are provided for your convenience. RHC has no control over the content of those sites and accepts no responsibility for them.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may revise these Terms from time to time. The updated version will be indicated by a revised "Last updated" date. Continued use of our website or services after any changes constitutes acceptance of the new Terms.
